Since the opening of our Singapore office in August 2008, our team has had a hand in more than 20 significant Indonesia-related transactions, including the restructuring of the operating companies of a leading Indonesian coal producer—an effort that included the largest Indonesia IPO to date—and our representation of Asia Pulp and Paper’s Indonesia subsidiaries in their ongoing restructuring of US$6.5 billion of debt.

Banking and Finance and Debt Capital Markets

Our Indonesia team has worked on a large number of banking and finance transactions in Indonesia. We are as comfortable with lender-side and borrower-side transactions as we are with "event-driven" financings, such as acquisition finance and investment finance. We also regularly advise corporate clients on a range of different financing options such as high-yield debt, export credit, securitizations, syndicated loans, and project financing. Some of our highlight transactions include advising on a syndicated facility for a major Indonesian petrochemical producer company; advising on the issue of high-yield bond to construct a high-end serviced apartment building in Jakarta’s central business district; and advising on project financing for the first-ever submarine cable developed by an Indonesian communication company.

Investment Funds

We are building a team in Singapore that is focused on the structuring and establishment of private equity and other alternative investment funds in Asia. We represented one of the world’s largest private equity firms in its US$ 2.9 billion emerging markets private equity fund that. The first investment made by the fund was into an oil exploration company with a substantial focus in Indonesia. We also advised a UK-based fund of funds on its investment into an Indonesia-focused private equity fund.
Litigation and Dispute Resolution

Our attorneys have vast knowledge and experience in handling litigation and dispute resolution matters involving Indonesia. Coupled with the strong relationships that we have with a number of experienced local counsels and professional organizations, we are well-equipped in understanding the setting and we manage the process effectively in handling litigation and dispute resolution matters in Indonesia. We are currently representing a major media company in Indonesia in arbitration arising from a dispute with a foreign company in relation to a certain shareholders’ arrangement.

We have extensive experience in many sub-areas of mergers and acquisitions including inbound and outbound mergers and acquisitions, auctions, structured divestment programs, and privately negotiated transactions. Our experiences range from representing Indonesian parties in their overseas acquisition, as well as acting for large multinationals in their merger and acquisition into Indonesia. We represented the selling shareholders in the high-profile divestment of Indonesia’s second-largest coal mining contractor company. We have also represented a major Indonesian corporate group in their overseas acquisition of US-based and Canadian-based distressed companies.
Private Equity and Strategic Investments

Leading private equity funds regularly rely on our Indonesia team to advise them and their portfolio companies on structured investments in the region. Our fluency with debt, equity, and other financial instruments permits us to negotiate and structure investments to achieve our clients’ investment goals in Indonesia. Some examples of the structures that we have tailored for our past deals are: hybrid preference share issuance with cash controls, convertible exchanged bonds with escrowed equity, stapled and tranched mezzanine debt instruments, and structured derivative programs such as total return swaps and credit linked notes.
Restructuring

Our Indonesia team features some of the leading restructuring lawyers in Asia, who have extensive experiences in working with clients in all aspect of restructuring matters. In recent years, we have been involved in many-high profile Indonesia restructurings. We represented the bondholder steering committee in recent court composition proceedings initiated against a public Indonesian producer and exporter company. And we represented an ad hoc committee in the restructuring of US$207 million of senior mezzanine notes issued by a leading national onshore- and offshore-drilling contractor company in Indonesia.
