India
India is one of the world's fastest-growing economies and is an attractive destination for inbound investment and, increasingly, a source of deal activity globally. Whether advising in relation to international components of capital markets transactions, raising capital, financing options, strategic joint ventures and investments and large-scale restructurings, or major cross-border mergers and acquisitions, our India Practice Team is adept in assisting clients who are entering into or looking to expand within the Indian market, as well as India-based clients doing business overseas. Our commitment to excellence and achieving results, along with our portfolio of India-related transactions, places O'Melveny clients at a competitive advantage.
Our India-focused practice team is headquartered in Singapore. Our India Practice Team also boasts an excellent profile of lawyers from across the globe, representing companies in international transactions and disputes involving India. This includes lawyers who formerly served at high levels in the U.S. government and, as such, our team possesses a wealth of knowledge about U.S. domestic and international regulatory matters, evolving tax structuring, trade remedies and trade policy, Foreign Corrupt Practice Act (FCPA), and transactions triggering review by the U.S. Committee on Foreign Investment in the United States (CFIUS).
We have been actively involved in numerous India-related transactions as international counsel, including recently serving as the sole International Legal Counsel to the issuer in the US$1.8 billion further public offering (FPO) of NTPC Limited, India’s largest power company, by the Government of India’s Department of Disinvestment.

As with all foreign law firms, we are not licensed as attorneys in India and are not permitted to, and do not, practice Indian law. Instead, we have established strong and supportive working relationships with premier domestic Indian law firms. The focus of our India Practice Team is the international aspects, focused on U.S. and English law.
Practice Strengths
Capital Markets
-
As global capital markets evolve and become increasingly interconnected, there are greater benefits—and challenges—to fund raising across borders, markets, and instruments. Maximizing return on a deal requires an understanding of the varied regulatory and compliance environments as well as rapid execution to quickly take advantage of market conditions. Our Asia capital markets practice is highly regarded, and serves as a trusted advisor to both issuers and underwriters, with extensive experience in the international components of listings on various exchanges, including Regulation S and Rule 144A transactions.
O’Melveny combines a worldwide reach with sophisticated knowledge of primary markets and efficient deal structuring to represent issuers and underwriters in large complicated fund-raising transactions. Our 60-plus Corporate Finance lawyers in the key financial centers of Asia, Europe and the United States, counsel on everything from early stage strategy through execution to post deal integration. Whether planning an initial public offering on a major exchange, a private placement, or a debt/equity swap, investors and businesses can count on O’Melveny to help close innovative transactions that capture the greatest market opportunities.
Entertainment, Sports & Media
-
For nearly all of our 125 years, O’Melveny & Myers LLP has represented motion picture studios, television, music and new media companies, sports organizations, governing bodies, professional sports teams (and their owners), financial institutions, strategic investors, and individual talent on groundbreaking and significant industry transactions. As financial models and technological changes force entertainment, sports and media companies to re-tool their business strategies, one thing remains the same – they continue to turn to the law firm that has guided entertainment, sports and media industry leaders since Hollywood’s Golden Age and from the initial migration of professional sports to the West Coast.
Our reputation as a leader for complex media and entertainment transactions is predicated on our in-depth industry knowledge, our extensive experience, and our rich tradition of approaching every deal with diligence, perspective and innovation. We are increasingly called upon to lend our skills to international and Pan-Asia media transactions that have an Indian element.
Finance
-
As worldwide financial markets become more complex, market players demand counseling reflecting the best blend of legal experience, market knowledge, practicality, and innovation. Our corporate finance lawyers can help assess the risks and identify the opportunities in financing and debt investing activities. Our corporate finance lawyers represent some of the largest and most sophisticated private equity firms, corporations, banks and investment funds, as borrowers and lenders, issuers and investors, in financing and debt investing transactions in the principal debt markets in the United States, Asia, and Europe. We also represent a range of borrowers and lenders in middle market leveraged acquisition and other financing transactions.
Each year, teams of O’Melveny lawyers around the globe handle multiple buy-side and sell-side acquisition transactions, leveraged finance transactions, minority investments, dividend recaps, strategic projects, and traditional recapitalizations on behalf of our clients. Our team of more than 40 seasoned lawyers across three continents has a proven track record of successfully structuring, negotiating, and closing complex financing transactions to meet those clients’ needs.
Investment Funds
-
Our Investment Funds practice is one of the largest fund practices in the world, with lawyers worldwide focused on the key areas of law affecting investment funds, including corporate law, partnership law, tax, ERISA and U.S. and non-U.S. securities laws. We are a truly global practice, with lawyers located in New York, California, London and Asia who have experience working with investment funds investing in the United States and North America, Europe, Scandinavia, Asia, India, Africa, the Middle East, Latin America, and other emerging markets. Although each of our core offices is staffed to provide our clients with full "one-stop" shopping on investment fund matters, the group often works together on projects where a global firm approach–such as information sharing across offices regarding trends in the global marketplace or addressing the specific legal or regulatory issues of a particular project–provides a client with the resources and know-how necessary to achieve a successful outcome.
Our practice is not only geographically diverse, it is also varied in terms of our fund product experience. We have worked across the full spectrum of investment fund product types, including funds focused on buyouts/growth equity, credit opportunity/distressed investments, venture capital, real estate and infrastructure, as well as feeder funds, fund of funds, co-investment funds, permanent capital funds, and hedge funds. Similarly, we have represented fund clients with many different industry focuses, including funds focused on investments in industrial companies, consumer retail & service businesses, energy/alternative energy companies, financial institutions/service businesses, technology companies, health care companies, and media/entertainment/telecom companies. The size of the funds that we currently represent ranges from US$100 million to over US$5 billion.
We believe that our extensive representation of top-flight fund sponsors and investors, our integrated global footprint, and our extensive experience across fund products provides us with "360-degree" vision on the terms, trends, and law driving the investment fund marketplace. We use this vision daily in delivering innovative, pragmatic, and commercial solutions to our clients' most complex business and legal requirements. In doing so, we provide today's fund client with what it needs most: global reach, local strength, superior results.
O’Melveny’s funds practice is recognized within Asia and internationally as a market leader. The fund sponsors who regularly call upon us for their funds assignments is a testament to the high value offered by our practice’s breadth of geographic reach and depth of talent. Our relationships are similarly strong with limited partners. O’Melveny advised sponsors on the raising of 59 funds and limited partners on 104 funds that closed in 2008 (a year that is generally regarded as a very quiet year for fundraisings).
Outsourcing and Services
-
O’Melveny has in-depth experience in the business process and information technology outsourcing sectors. These industry sectors are critical to the growth of India’s “new” economy. Our team includes a former general counsel of an international outsourcing company. Our Firm has acted on both sides of complex outsourcing agreements and joint ventures. We have also represented outsourcing companies in a variety of mergers and acquisitions.
Private Equity and Mergers and Acquisitions
-
The M&A team at O’Melveny has continued to guide sophisticated companies and financial investors through the complexities of merging, acquiring, investing in and disposing of businesses in all contexts, whether public or private, domestic or international. We have also helped our clients capitalize on opportunities in the distressed arena through participation in prepackaged bankruptcies and distressed acquisitions.
Our M&A team, more than 120 strong, with nationally and internationally recognized lawyers resident in the Singapore, Japan, and China, Europe and United States, is adept at delivering world-class legal services across cultural, language, and geographical boundaries. From the preliminary structuring of a transaction through its closing, our clients enjoy a partnership focused on achieving their strategic objectives.
We have deep experience in mergers and acquisitions across a broad range of industries, including technology and services, business process outsourcing, natural resources, pharmaceuticals, manufacturing, consumer products, energy and financial services.
We also have significant experience in structuring and negotiating complex, cross border joint venture agreements. Our lawyers have executed joint ventures as international counsel in a variety of industry sectors in India, particularly the business process outsourcing and services sectors.
Restructuring
-
Market-leading experience in complex structured finance, restructurings, distressed asset transactions and insolvency matters in India. Our finance experience includes convertible, hybrid, mezzanine and acquisition financings, real estate, infrastructure and development loans, pre-IPO financings, leveraged buy-outs, securitizations and other credit structures. O’Melveny’s Restructuring Practice boasts more than 60 finance and restructuring lawyers resident in key financial centers on the East and West Coasts of the United States and in the increasingly important Asia market. We are also acting as global corporate and restructuring counsel to Singapore-based Asia Pulp & Paper in its restructuring of debt—an undertaking that has been described as the largest-ever emerging markets restructuring and one of the most complex workouts ever undertaken in any market.
