Harvey M. Eisenberg is a partner in O'Melveny's New York office, Co-Chair of the Transactions Department, and a member of the Mergers and Acquisitions Practice. Since he began his career in 1985, Mr. Eisenberg's practice has been focused on representing private equity investors and their portfolio companies. He has been recognized by
International Who's Who as one of the leading lawyers in his field.
He has in-depth experience in the following areas:
Private Equity Investments: Leveraged buy-outs, growth investments, PIPES, mezzanine capital, and venture capital.
Fund Formation: Formation of traditional private equity funds, including an $8 billion global fund for J.P. Morgan Partners, LLC, leveraged co-investment funds, employee securities companies, and joint ventures. Creation of internal carry, compensation, and governance agreements among fund sponsors.
Finance: Representation of borrowers in senior, mezzanine and high-yield finance, restructurings, debt exchanges, and pre-packaged bankruptcies.
Bank Regulatory: Advise bank holding companies and their affiliates on regulations affecting their private equity activities. Long-term relationships with key regulators. Acted as counsel to a leading banking coalition in connection with the enactment of the Gramm-Leach-Bliley Act.
Counseling: Provide strategic counsel to the senior partners of private equity firms.
